Overview of the Role:

The incumbent is responsible for managing the Company Secretarial and Corporate Legal affairs of the company effectively and efficiently, providing legal advisory services, ensuring management of legal and contractual risks, compliance management, contract management, and maintaining a central repository of legal documents. The role demands a professional who can efficiently handle legal and secretarial responsibilities, ensuring the organization’s compliance with legal standards and regulations while maintaining high ethical integrity and attention to detail. 

Responsibilities:

Company Secretarial Functions 

Overview of the Role:

Board Support & Governance of Best Practices:

o Assist the board of directors by organizing meetings, preparing agendas, and ensuring that decisions are accurately recorded. 

o Act as a liaison between the board, management, and shareholders, facilitating effective communication. 

o Advise the board on corporate governance best practices and ensuring that the company operates within its governance framework. 

o Assist in managing secretarial responsibilities as per the Companies Act.

Meetings & Records:

o Prepare the agenda for the meetings of the board of directors / general meetings. 

o Arrange with and to call and hold meetings of the board and to prepare a correct record of proceedings by attending the same.

o Arrange the annual and extraordinary general meetings of the company and ensure compliance of the legal requirements.

o Maintain key company records and documentation, including statutory filings. 

o Maintain statutory records and registers, record minutes, file documents with regulatory authorities, and respond to notices.

Legal Function:

o Legal Advice: Providing legal guidance to the company on various matters, including contracts, compliance, and risk management, ensuring that the company’s operations align with legal standards. 

o Contract Management: Overseeing the drafting, negotiation, and execution of contracts to protect the company’s interests and minimize legal risks. 

o Dispute Resolution: Managing any legal disputes that arise, including litigation and negotiations with external parties. 

o Regulatory Compliance: Ensuring that the company complies with industry regulations and legal requirements, similar to the Company Secretary but with a more focused legal perspective. 

o Collaboration with External Counsel: Working with external legal advisors when necessary, especially for complex legal issues or litigation.

Documentation & Records:

o Work with concerned department/s to help prepare case papers to ensure that all related data/information is complete and comprehensive.

o Maintain records & update status of litigations periodically.

o Draft replies to the queries in consultation with the senior team members o Drafting and Vetting of all kinds of legal documents/agreements/contracts.

o Stay updated with relevant laws and regulations.

Risk Mitigation:

o Identify potential risks in contracts and collaborate with legal counsel to mitigate them.

o Develop strategies to minimize contractual risks and disputes. Communication and Collaboration.

o Facilitate contract negotiations and resolve compliance issues with internal departments, external partners, and legal counsel.

o Provide contract-related guidance and training to departments.

o Prepare agreements, leases, legal forms, and other official documents on the company’s behalf Competencies.

o In-depth knowledge of contract law and legal/regulatory compliance and Company Secretarial functions o Proficiency in contract management software and tools.
